1. Who you are contracting with

HeirLock (the "Service") is provided by Devin R Young ("HeirLock", "we", "us"). By creating an account or using the Service you agree to these Terms.

2. Eligibility and account

You must be of legal age in your jurisdiction and able to enter into a binding contract. You are responsible for keeping your credentials confidential and for all activity under your account. You agree to provide accurate information and keep it current.

3. What HeirLock does

HeirLock is a "dead man's switch" for digital legacy: you upload encrypted vault items, designate beneficiaries, and choose a check-in schedule. If you stop checking in, we deliver the items you assigned to the beneficiaries you designated, after a grace period and notifications you configure.

4. Acceptable use

You must not use the Service to: (a) violate law; (b) upload malware or infringing content; (c) commit fraud or spam; (d) interfere with the Service's security, integrity, or performance (including probing, scanning, or scraping); or (e) attempt to gain access to accounts, systems, or data you are not authorized to access.

5. Your content

You retain ownership of the content you upload. You grant us a limited, non-exclusive license to host, encrypt, transmit, and process your content solely to provide the Service and, when triggered, to deliver items to your designated beneficiaries.

6. Intellectual property

The Service, including its software, design, and branding, is owned by Devin R Young and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service within your active subscription. You may not reverse engineer, resell, or circumvent technical limits.

7. Payments and subscription

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by the Paddle Buyer Terms available at https://www.paddle.com/legal/checkout-buyer-terms.

Subscriptions renew automatically at the end of each billing period until canceled. You can cancel at any time from your account; access continues through the end of the paid period.

9. Service availability

We work to keep the Service reliable but do not guarantee uninterrupted or error-free operation. We may perform maintenance and update the Service from time to time.

10. Suspension and termination

We may suspend or terminate access for material breach, non-payment, security or fraud risk, or repeated policy violations. You may close your account at any time. On termination, your vault content will be deleted in accordance with our Privacy Notice.

11. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the amount you paid for the Service in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, special, incidental, or punitive damages, including lost profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be limited by law.

13. Indemnity

You agree to indemnify and hold harmless Devin R Young from claims arising out of your content, your use of the Service in violation of these Terms, or your violation of applicable law.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced in-app or by email. Continued use of the Service after an update constitutes acceptance.

15. Governing law

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-laws principles. Courts located in Texas will have exclusive jurisdiction, subject to any mandatory consumer protections in your country of residence.
